Terms and Conditions Customer Policy/Agreement PLEASE READ CAREFULLY: BY AGREEMENT, CREATING A BUSINESS ACCOUNT OR BUSINESS CONTROL PANEL OR PURCHASING OR USING IWORLDSERVICES PRODUCTS AND SERVICES, YOU ARE AGREEING TO THESE BUSINESS TERMS OF SERVICE ("AGREEMENT") ON BEHALF OF THE ENTITY ON WHOSE BEHALF YOU ARE SETTING UP A BUSINESS CONTROL PANEL (“COMPANY,” “CUSTOMER,” “YOU,” “YOUR,” “YOURS”). YOUR AGREEMENT TO THESE TERMS WILL BE DEEMED TO BE AN AGREEMENT BETWEEN THE COMPANY/CUSTOMER AND IWORLDSERVICES AND YOU REPRESENT AND WARRANT THAT YOU HAVE AUTHORITY TO BIND THE COMPANY/CUSTOMER TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE WITH THE TERMS OF THIS AGREEMENT, YOU ARE NOT AUTHORIZED TO USE THE IWORLDSERVICES PRODUCTS, SERVICES, WEBSITE, BUSINESS ACCOUNTS, MANAGERS, OR THE BUSINESS CONTROL PANEL IN ANY MANNER. THE TERMS AND CONDITIONS OF THIS AGREEMENT GOVERN YOUR USE OF THE IWORLDSERVICES PRODUCTS, SERVICES, WEBSITE, BUSINESS ACCOUNTS, MANAGERS, AND THE BUSINESS CONTROL PANEL UNLESS YOU AND IWORLDSERVICES HAVE EXECUTED A SEPARATE AGREEMENT. DEFINITIONS.The following terms and expressions shall have the following meanings: Effective Date: the date upon which You accept these terms for which the Agreement will be effective and will remain effective until terminated by either IWORLDSERVICES or You as detailed in the section pertaining to Termination. IWORLDSERVICES: means IWORLDSERVICES, a California Corporation, located at 1600 Shattuck Ave., Berkeley, CA 94709; IWORLDSERVICES Prepayment and Credit: the prepaid usage purchased from IWORLDSERVICES to use with, and pay for, IWORLDSERVICES Products and Services, and credit allocated on pre-approved basis to use with; User Account/Panel: means a Business/Company Account or a Consumer/Customer Account/Panel; Account Manager: means the Sales Manager assigned to supervise your User Account/Panel; You, Your, or Yours: means the entity entering into this Agreement, also referred to herein as the Company and as the Customer; Reseller: means a Customer that re-sells IWORLDSERVICES products and services.  IWORLDSERVICES Customers primary fall under this category or Reseller; Deactivate: means to suspend and make inactive a Customer User Account/Panel and cease all business with the de-activated Customer. Quality: IWORLDSERVICES will use reasonable endeavors to provide the IWORLDSERVICES Products & Services with minimum disruptions. However, IWORLDSERVICES cannot guarantee that the IWORLDSERVICES Products will always function without disruptions, delay or other imperfections. As comes with the nature of the Products & Services, there may be power outages or internet service disruption and You may experience some disruptions e.g. loss and delay which will interfere with the quality of Your communications. Technical improvement and maintenance: IWORLDSERVICES may change technical features in order to keep pace with the latest demands and technological developments or to comply with any Applicable Laws. IWORLDSERVICES may also have to repair, improve, and/or upgrade the IWORLDSERVICES Products and this may require us to restrict, limit, suspend, interfere and/or interrupt the IWORLDSERVICES Products at any time in our sole discretion. Business Control PanelYou shall comply with any additional terms applicable to your Business Control Panel set out by your assigned Account Managers. Details and any terms and conditions pertaining Your specific account with be found in EXHIBIT A, attached to this Agreement or sent to you separately. Personal and Traffic Data You shall inform each user that You and Your administrators may obtain and use their personal and traffic data. You acknowledge and agree that You shall process (and shall ensure that Your administrators shall process) such personal data in accordance with all applicable data protection laws. You represent and warrant to keep all such personal and traffic data confidential and use and protect it strictly in compliance with applicable data protection laws. Under no circumstances shall You send (or allow Your Administrators and/or Business Users to send) unsolicited commercial communications on privacy and electronic communications with respect to Your Business Control Panel. You shall not (and You shall ensure that Your Administrators and/or Business Users shall not) send or procure the sending of any communications, including email messages on behalf of, or purporting to originate on behalf of, IWORLDSERVICES. IWORLDSERVICES PREPAYMENT AND CREDIT.Prepayment. Company/Customer accounts are active on a pre-paid basis. You must deposit sufficient IWORLDSERVICES Credit in Your User Accounts through Your debit or credit card, Pay Pal account, or other payment methods which may be made available by IWORLDSERVICES. IWORLDSERVICES reserves the right to stop accepting debit or credit cards from one or more issuers, or to cease providing any payment method at any time in its sole discretion. Credit. IWORLDSERVICES does not guarantee that You will be able to use IWORLDSERVICES Credit to purchase IWORLDSERVICES Products and Services.  Prior approval from Account Managers and IWORLDSERVICES Finance Department is required before credit may be applied to Company/Customer User Accounts. Inactive Prepayment & Credit. A Customer balance for IWORLDSERVICES prepayments or credit that has been allocated to a User Account will be placed on inactive status if it is not used for an extended period deemed suitable by Managers and Finance. A credit balance can be reactivated.  Reactivated IWORLDSERVICES balance or credit is not refundable. IWORLDSERVICES PREPAID SERVICES ("Services") ARE PROVIDED SUBJECT TO THESE TERMS AND CONDITIONS ("Agreement") AND APPLICABLE LAW.

Availability of Services depends on selected Services conditions including amount sent, destination country, currency availability, regulatory issues, identification requirements and location (collectively, "Restrictions"), and technical issues. Â IWORLDSERVICES Customers transmit funds to IWORLDSERVICES Prepaid User Accounts to use Services, and IWORLDSERVICES provides Services to Customers electronically. There is no maximum amount of funds you can transfer in a single transaction. Customers should refer to additional terms and conditions of other third parties and payment methods. Transactions: (i) which exceed certain amounts; (ii) to certain destinations; (iii) that implicate certain regulatory issues; or (iv) sent through delayed options may take longer, be subject to dollar limits or be subject to additional Restrictions. Transactions may be reported to applicable authorities. PAYMENT.Charges and Rates IWORLDSERVICES Products and Services: You shall pay IWORLDSERVICES any applicable charges and rates as stated on the IWORLDSERVICES rate sheets or notifications provided by Your Account Manager or IWORLDSERVICES Website in connection with the purchase and use of the IWORLDSERVICES Products and Services. You will be able to pay with Your IWORLDSERVICES pre-approved credit balance or with any other payment method available. If You believe that IWORLDSERVICES has charged You in error, You must contact our customer support team within 5 days after such charge. No refunds will be given for any charges which are more than 5 days old. Â Under no circumstance will refunds be issued without proof of valid refund requests approved by IWORLDSERVICES. Fees, Payment and Currency Exchange. In consideration for the use of the Service, You agree to pay for fees for each money transaction where applicable to You pertaining to Your payment initiated by You at the applicable rate and mode of transaction then in effect (the "transaction fee"). The applicable transaction fee for Your transaction will be provided to You prior to Your final authorization of the transaction, in addition to any applicable fees for additional services. Â Under no circumstance is IWORLDSERVICES responsible for Customer fees. Calling: The charges payable for calling consist of a connection fee and a per-minute rate as set out by Your Account Manager. Premium rates: The charges payable for calling premium rate numbers consist of a per-minute rate with possible connection charges. The duration of a call shall be based on one-minute increments. Fractions of minutes will be rounded up to the next minute. The connection fee, where applicable, will be charged at the beginning of the call. During the call, charges incurred will be deducted automatically from the User Account from which the call is made. Â Change of charges and tariffs IWORLDSERVICES may change the rates for calling phones at any time. The rates for calling premium rate numbers are subject to change at all times, with notice to You. IWORLDSERVICES may change the charges payable for the purchase of IWORLDSERVICES Products at any time without any notice to You. You can choose whether or not to accept the new charges prior to completing Your next purchase of the applicable IWORLDSERVICES Product or Service. The new charge will apply to Your next purchase after the adjustments have been published on the IWORLDSERVICES Website or detailed in informative documents provided by your Account Manager. You agree that by continuing to use the IWORLDSERVICES Products and Services following the adjustments of the charges, You accept the new charges. Tax: Details provided where applicable. Auto Recharge If You have chosen to pay using payment methods that provide an Auto-Recharge feature on Your Business Control Panel, Your IWORLDSERVICES balance will be recharged using the input of Your Panel ID into the appropriate fields specified in your Payment Methods sheet distributed to You by Your Account Manager with the same amount MINUS APPLICABLE TRANSACTION FEES chosen when You initiate and have Your payment authorized. Â For example, if You purchase 200 USD of IWORLDSERVICES prepayment with Your credit card via Pay Pal, the recharge amount charged to Your credit card will also be 200 USD and your Panel will be deposited the net transaction amount minus applicable transaction fees. REFUND POLICY. IWORLDSERVICES Credit Refunds are not provided by IWORLDSERVICES with the exception IWORLDSERVICES is proven to be at fault. Â Once You have allocated any IWORLDSERVICES prepayment or credit towards usage on your User Account, You are not eligible for a refund of that IWORLDSERVICES prepayment or credit. No refunds shall be given for any IWORLDSERVICES prepayment or credit that is reactivated. You may purchase IWORLDSERVICES prepayment or credit in various denominations. If You have made several transactions and You have a cumulative amount of IWORLDSERVICES prepayment balance on Your Business Control Panel, for the purposes of this refund policy, any amount that You allocate towards usage shall be deemed to have been allocated from the earliest unexpired and unused transaction. Under no circumstance will refunds be granted to any transactions to IWORLDSERVICES that were initiated in attempts or suspected attempts of defrauding IWORLDSERVICES. Exceptions. No refunds shall be given for IWORLDSERVICS Products and Services that are (i) not directly acquired online from IWORLDSERVICES; or (ii) that are paid for in cash using third party payment methods. If You purchase IWORLDSERVICES Products and Services via a third party partner of IWORLDSERVICES, any refund requests should be submitted to such partner and not IWORLDSERVICES. The partner may decide in its sole discretion whether or not to pay a refund. Refund Requests Payment Methods. All refunds shall be paid either through the original payment method used, or any other reasonable payment method to be determined by IWORLDSERVICES in its sole discretion. Reservation of Rights. IWORLDSERVICES reserves the right to deny repetitive refund requests (more than once for any given type of IWORLDSERVICES Product or Service) and to terminate this Agreement with immediate effect in the event of any abuse by You of this refund policy. The burden of proof regarding refunds are held by the Customer. Â Refunds will be granted by receipt of a valid written request from the Customer with signed approval by our Finance Department. Â Refunds will not be granted to any third party methods of payment, may it be Western Union, Money Gram, Pay Pal, Google, or any other payment methods, without valid cause and approval by IWORLDSERVICES Finance Department. Â Under no circumstance will IWORLDSERVICES issue refunds of payments by Customers who received valid service usage and thereby are liable to pay for services rendered. Refund requests carried out through any other means shall not be valid. Â RESOLUTION OF DISPUTES.
The following "Resolution of Disputes" provision applies to IWORLDSERVICES transactions originating outside California. Any dispute or claim arising from or relating to the Products and Services and/or the Terms and Conditions, including any dispute or claim regarding the applicability of this provision, shall be settled by binding arbitration administered by the appropriate California arbitration forum and codes in effect at the time the claim is filed.  Any mediation and arbitration will occur only in the state of California.  Before arbitration can be administered both parties will enter into mediation first.  Each party shall bear its own attorney's, experts and witness fees, which shall not be considered costs of arbitration. Judgment on any award rendered by the arbitrator may be entered in and enforced by the courts of California. The parties agree that neither of them shall have the right to participate as a member of any class of claimants pertaining to any claim subject to arbitration under this paragraph and that claims of third parties shall not be joined in any arbitration between the parties.  The parties acknowledge and agree that this arbitration agreement is made pursuant to a transaction involving interstate commerce and shall be governed by applicable federal arbitration agency and stipulation.  If any portion of this paragraph is deemed invalid or unenforceable, it shall not invalidate the remaining portions of this paragraph. THE PARTIES ACKNOWLEDGE AND AGREE THAT, EXCEPT AS EXPRESSLY PROVIDED IN THIS PARAGRAPH, THEY ARE WAIVING ALL RIGHTS TO A TRIAL BY COURT OR JURY AS A MEANS OF RESOLVING ANY DISPUTES ARISING OUT OF OR RELATING TO IWORLDSERVICES Customer transactions. DISCLAIMERS, LIMITATION OF LIABILITY AND INDEMNITY.Disclaimers THE IWORLDSERVICES PRODUCTS AND SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW IWORLDSERVICES, ITS LICENSORS AND AFFILIATES HEREBY DISCLAIM ALL WARRANTIES, CONDITIONS, CLAIMS OR REPRESENTATIONS WITH RESPECT TO THE IWORLDSERVICES PRODUCTS AND SERVICES WHETHER EXPRESS, IMPLIED OR STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, QUALITY, NON-INFRINGEMENT, COMPATIBILITY OR OF FITNESS FOR A PARTICULAR PURPOSE. IWORLDSERVICES FURTHER DOES NOT REPRESENT OR WARRANT THAT THE IWORLDSERVICES PRODUCTS AND SERVICES WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, ACCURATE, COMPLETE, ERROR-FREE OR FREE OF VIRUSES NOR DOES IWORLDSERVICES WARRANT ANY CONNECTION TO OR TRANSMISSION FROM THE INTERNET, OR ANY QUALITY OF COMMUNICATIONS MADE THROUGH THE IWORLDSERVICES PRODUCTS AND SERVICES. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM IWORLDSERVICES OR ELSEWHERE WILL CREATE ANY WARRANTY OR CONDITION NOT EXPRESSLY STATED IN THIS AGREEMENT.  CONTENT. IWORLDSERVICES DISCLAIMS ANY AND ALL RESPONSIBILITY OR LIABILITY IN RELATION TO THE CONTENT MADE AVAILABLE THROUGH THE IWORLDSERVICES PRODUCTS AND SERVICES (INCLUDING, WITHOUT LIMITATION, PUBLIC CHATS, CALLS) OR ANY CONTENT, IWORLDSERVICES PRODUCTS OR SERVICES PROVIDED BY THIRD PARTIES REFERRED TO IN THIS AGREEMENT. NEITHER IWORLDSERVICES NOR ITS OFFICERS, EMPLOYEES OR AFFILIATES MAY BE HELD LIABLE WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER FORM OF LIABILITY FOR ANY CLAIM, DAMAGE, OR LOSS, (AND YOU HEREBY WAIVE ANY AND ALL SUCH CLAIMS OR CAUSES OF ACTION), ARISING FROM OR RELATING TO ALL SUCH CONTENT, IWORLDSERVICES PRODUCTS OR SERVICES. EMERGENCY SERVICES. NEITHER THE IWORLDSERVICES SOFTWARE NOR THE IWORLDSERVICES PRODUCTS AND SERVICES, SUPPORT OR CARRY, AND THEY ARE NOT INTENDED TO SUPPORT OR CARRY, EMERGENCY CALLS TO ANY EMERGENCY SERVICES. NEITHER IWORLDSERVICES NOR ITS OFFICERS, EMPLOYEES OR AFFILIATES MAY BE HELD LIABLE WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER FORM OF LIABILITY FOR ANY CLAIM, DAMAGE, OR LOSS, (AND YOU HEREBY WAIVE ANY AND ALL SUCH CLAIMS OR CAUSES OF ACTION), ARISING FROM OR RELATING TO EMERGENCY SERVICES AND USAGE. BUSINESS/COMPANY/CUSTOMER USERS AND ADMINISTRATORS. YOU ARE SOLELY RESPONSIBLE AND LIABLE FOR ALL ACTIVITIES CONDUCTED THROUGH YOUR BUSINESS ACCOUNTS BY YOUR BUSINESS USERS AND/OR YOUR ADMINISTRATORS, EVEN IF SUCH ACTIVITIES WERE TO OCCUR WITHOUT YOUR PERMISSION. IWORLDSERVICES DISCLAIMS ANY AND ALL RESPONSIBILITY OR LIABILITY IN RELATION TO THE ACTS AND OMISSIONS OF YOUR BUSINESS ACCOUNT AND/OR YOUR ADMINISTRATORS THROUGH THE IWORLDSERVICES PRODUCTS. NEITHER IWORLDSERVICES NOR ITS OFFICERS, EMPLOYEES OR AFFILIATES MAY BE HELD LIABLE WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER FORM OF LIABILITY FOR ANY CLAIM, DAMAGE, OR LOSS, (AND YOU HEREBY WAIVE ANY AND ALL SUCH CLAIMS OR CAUSES OF ACTION), ARISING FROM OR RELATING TO ALL SUCH ACTS AND OMISSIONS. Force Majeure. You acknowledge and understand that if IWORLDSERVICES is unable to provide the IWORLDSERVICES Products or Services as a result of a force majeure event IWORLDSERVICES will not be in breach of any of its obligations towards You under this Agreement. A force majeure event means any event or “superior force” beyond the control of IWORLDSERVICES. In the event IWORLDSERVICES is affected by a force majeure event, it shall notify You as soon as reasonably practicable of the estimated extent and duration of its inability to perform or delay in performing its obligations. IWORLDSERVICES SHALL NOT HAVE ANY LIABILITY TO YOU WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER FORM OF LIABILITY FOR FAILING TO PERFORM ITS OBLIGATIONS UNDER THIS AGREEMENT TO THE EXTENT THAT SUCH FAILURE IS AS A RESULT OF A FORCE MAJEURE EVENT. LIMITATION OF LIABILITY.
IN NO EVENT shall IWORLDSERVICES be liable for damages for delay, nondelivery, nonpayment, or underpayment of any money paid towards goods and services.  Or any supplemental message, whether caused by negligence on the part of its employees, suppliers or agents or otherwise, beyond the sum of refunding the principal amount of payments and associated fees.  In no event will IWORLDSERVICES be liable for any indirect, special, incidental, consequential exemplary or punitive damages, or the like.  These conditions cannot be changed or supplemented orally.  IN NO EVENT SHALL IWORLDSERVICES, ITS AFFILIATES OR ITS LICENSORS BE LIABLE, HOWSOEVER CAUSED AND WHETHER ARISING UNDER CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER FORM OF LIABILITY, FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES; ANY LOSS OF INCOME, BUSINESS, SALES, PROFITS (WHETHER ACTUAL OR ANTICIPATED), LOSS OF OR CORRUPTION TO DATA, INTERRUPTION OF BUSINESS, OR FOR THE USE OR PERFORMANCE OF THE IWORLDSERVICES PRODUCTS AND SERVICES. THE LIMITATIONS ON IWORLDSERVICES’S LIABILITY ABOVE SHALL APPLY WHETHER OR NOT IWORLDSERVICES, ITS EMPLOYEES, LICENSORS OR ITS AFFILIATES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES ARISING. NOTHING IN THIS AGREEMENT IS INTENDED TO EXCLUDE OR RESTRICT OR SHALL BE CONSTRUED AS EXCLUDING OR RESTRICTING THE LIABILITY OF IWORLDSERVICES FOR (I) THE DEATH OR PERSONAL INJURY CAUSED BY THE NEGLIGENCE OF IWORLDSERVICES, ITS EMPLOYEES OR ITS AGENTS, OR (II) ANY LIABILITY WHICH CANNOT BE LIMITED OR EXCLUDED BY LAW. INDEMNITY.
You agree to indemnify, defend and hold harmless IWORLDSERVICES, and all its officers, directors, owners, agents, employees, affiliates, licensors, licensees and third party service providers (collectively, the "Indemnified Parties") from and against any and all losses, damages, liabilities, and claims and all fees, costs, expenses of any kind related thereto (including, without limitation, reasonable attorneys fees) incurred by the Indemnified Parties in connection with any claim arising out of, based upon or resulting from (i) Your access to and/or use of the IWORLDSERVICES website or Services including, without limitation, the telecommunication services; and/or (ii) Your violation of the Terms and Conditions. IWORLDSERVICES reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by You . You shall not in any event settle any matter without the written consent of IWORLDSERVICES. Indemnification: YOU AGREE TO INDEMNIFY, DEFEND AND HOLD IWORLDSERVICES AND ITS AFFILIATES HARMLESS FROM AND AGAINST ANY AND ALL LIABILITY AND COSTS, INCLUDING REASONABLE ATTORNEYS’ FEES, IN CONNECTION WITH OR ARISING OUT OF ANY BREACH BY YOU, YOUR ADMINISTRATORS AND/OR END USERS OF THE WARRANTIES, REPRESENTATIONS, OBLIGATIONS OR TERMS OF THIS AGREEMENT. INTELLECTUAL PROPERTY.
The IWORLDSERVICES website, the Service, the content, and all intellectual property pertaining thereto and contained therein (including but not limited to authors, patents, database rights, software rights, trademarks and service marks) are owned by IWORLDSERVICES or third parties, and all right, title and interest therein and thereto shall remain the property of IWORLDSERVICES and/or such other third parties. The IWORLDSERVICES website and Service may be used only for the purpose permitted by these Terms and Conditions. You are authorized solely to view and retain a copy of the pages of the IWORLDSERVICES website for Your own personal, non-commercial use. You agree that you may not duplicate, publish, modify, create derivative works from, participate in the transfer of, post on the World Wide Web, or in any way distribute or exploit the IWORLDSERVICES website, the Brand, the Service or any portion thereof for any public or commercial use without the express written consent of IWORLDSERVICES. You further agree not to: (i) use any robot, spider, scraper or other automated device to access the IWORLDSERVICES website and/or Service; and (ii) remove or alter any author, trademark or other proprietary notice or legend displayed on the IWORLDSERVICES website (or printed pages thereof). The name IWORLDSERVICES and other names and indicia of ownership of IWORLDSERVICES’s Service are the exclusive marks of IWORLDSERVICES or other third parties. Other product, service and company names appearing on the website may be trademarks of their respective owners.  MISCELLANEOUS.
These Terms and Conditions, together with all other items incorporated herein by reference, embody the Customer Policy/Terms and Conditions agreement and understanding between the Customer (“You,” “Your,” “Yours”) and IWORLDSERVICES and supersede all prior agreements or understandings the Customer has with IWORLDSERVICES. IWORLDSERVICES has the right to assign these Terms and Conditions to a subsidiary or affiliate company, or any third party, at any time without Customer consent. The Customer may not assign or transfer these Terms and Conditions without IWORLDSERVICES’s prior written consent. If any one or more of these Terms and Conditions shall for any reason be held to be invalid, illegal or unenforceable, the remaining provisions shall remain valid and enforceable. The IWORLDSERVICES website and Service are not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. In the event that there is any inconsistency between the English version of the IWORLDSERVICES website and the other language versions, the English version shall be binding.  Nothing in this clause shall exclude or restrict the liability of either You or Skype arising out of fraud or fraudulent misrepresentation.  Partial Invalidity: If any provision of this Agreement, or any part of a provision, is found by any court or administrative body of competent jurisdiction to be illegal, invalid or unenforceable, and the provision (or part-provision) in question is not of a fundamental nature to the Agreement as a whole, the legality, validity or enforceability of the remainder of the Agreement (including the remainder of the term which contains the relevant provision) shall not be affected.  No waiver: The failure to exercise, or delay in exercising, a right, power or remedy provided by the Agreement or by law shall not constitute a waiver of that right, power or remedy. If IWORLDSERVICES waives a breach of any provision of the Agreement this shall not operate as a waiver of a subsequent breach of that provision, or as a waiver of a breach of any other provision.  Survival: The terms of paragraphs pertaining to Disclaimers, Limitation of Liability and Indemnity, and Term, Termination, and Update in this Agreement, and any other provision of the Additional Terms which is expressed to survive or operate in the event of termination, shall survive termination of this Agreement and the applicable Additional Terms for whatever reason.  GENERAL.
This Agreement, together with all other items incorporated herein by reference, any supplemental materials, informative documents, and additional terms and conditions provided, embody the entire Agreement and Understanding between You and IWORLDSERVICES. It supersedes all prior agreements or understandings you have with IWORLDSERVICES and cannot be modified orally.  IWORLDSERVICES has the right to assign this Agreement to any party, at any time without your consent. You may not assign or transfer this Agreement without IWORLDSERVICES 's prior written consent. Your access to and use of the IWORLDSERVICES Website and Services is governed by applicable law without regard to its conflicts of laws rules. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall remain valid and enforceable.  The IWORLDSERVICES website and Services are directed to persons age 18 and over. The IWORLDSERVICES website and Services are not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. The English language Agreement version controls if there is any inconsistency between the English version and any non-English versions.  You represent, warrant and certify that your use of the Services shall not violate in any way, directly or indirectly, (a) any law, statute, ordinance, contract or regulation, including but not limited to any law, statute, ordinance, contract or regulation relating to money laundering, illegal activities, support for terrorist activities, fraud or theft; and/or (b) this Agreement. You agree that the information you provide is truthful, complete and not misleading.  IWORLDSERVICES reserves the right to change Services without notice. IWORLDSERVICES and its Agents may refuse to provide Products and Services to any person. TERM, TERMINATION, AND UPDATE.Duration. This Agreement and any attached Exhibit will be effective as of the date upon which You accept these terms (“Effective Date”) explicitly with signing (electronic signatures acceptable), and by clicking the acceptance button on the Website, and will remain effective until terminated by either IWORLDSERVICES or You as set out below.  An Explicit Agreement Page is included in this Agreement and provides details of Company/Customer/User (responsible entity) and signatures.  Agreement can also be made effective as of the date for which your Customer User Panel is created because a stipulation of being an active IWORLDSERVICES Company/Customer is to accept these Terms and Conditions.  Termination Termination by You. You may terminate this Agreement at any time upon written notice to IWORLDSERVICES contingent upon You not liable for any payments owed IWORLDSERVICES for Products or Services rendered. Upon termination of this Agreement You shall immediately cease (and shall ensure that Your Administrators and Your end users immediately cease) using Your Business Company/Customer Control Panel, Business Accounts and IWORLDSERVICES Products and Services. Any accounts that are members of Your Business Control Panel shall cease to be members of Your Business Control Panel and You shall inform such consumers of such termination immediately upon termination of this Agreement. Termination by IWORLDSERVICES. Without limiting other remedies, IWORLDSERVICES or its Affiliates may terminate this Agreement and any Additional Terms with immediate effect, and may limit, suspend, or terminate Your use of the Business/Company Customer Control Panel, Business Accounts, IWORLDSERVICES Products, Services, IWORLDSERVICES Software and IWORLDSERVICES Website, and take technical and legal steps to keep You off the IWORLDSERVICES Accounts and Website, and remove any hosted content posted by You, Your Administrators and/or Your end users, if we think that You, Your Administrators and/or Your end users are (i) in breach of this Agreement or creating problems, possible legal liabilities or acting inconsistently with the letter or spirit of our policies; (ii) infringing any third party’s IP rights; (iii) engaging in fraudulent, immoral or illegal activities or (iv) if You purchase IWORLDSERVICES prepayment from an unauthorized reseller; or for other similar reasons. Consequences of termination (i) IWORLDSERVICES shall effect such termination by preventing access to Your Panel, Business Accounts, IWORLDSERVICES Products, Services, IWORLDSERVICES Software, and the IWORLDSERVICES Website. If You have provided IWORLDSERVICES with a valid email address, IWORLDSERVICES may in its sole discretion provide notice to You by email of such termination. (ii) Upon termination of this Agreement and any Additional Terms: (a) all rights to use the IWORLDSERVICES Products and Services on Your Business Control Panel shall immediately terminate; (b) You will immediately cease (and shall ensure that Your Administrators and Your end users cease) any and all use of the IWORLDSERVICES Products, Services, and Accounts. Update. IWORLDSERVICES reserves the right to modify this Agreement at any time by publishing the revised Agreement on the IWORLDSERVICES Website, which shall become effective within thirty (15) days from the date of publication, unless You expressly accept the revised Agreement earlier by clicking on the agree or accept button or IWORLDSERVICES notifies You of the changes, in which case the revised Agreement shall become effective upon the date of acceptance or notification. Your continued use of the IWORLDSERVICES Products and Services after expiry of the 15-day period shall constitute Your acceptance to be bound by the terms and conditions of the revised version of the Agreement.
